Description and Desired Qualifications:
Our client partner’s Corporate Counsel will be part of the leadership team. You will work on a broad range of legal matters and the position will involve a high degree of responsibility and autonomy. You should be a self-motivated licensed attorney with at least seven years of complex and international corporate transactional experience post law school, with a combination of large law firm and in-house experience as well as a desire to grow personally and professionally with each transaction project.
- Manage (from a legal perspective), draft, review, advise and negotiate all real estate leasing, subleasing and related transactions
- Review, advise and negotiate a variety of treasury agreements including credit facilities, banking agreements, overdraft facilities
- Assist with and man! age various aspects of Corporate Secretary functions
- Coordinate with law firms under retainer when necessary
- Assist with corporate structuring matters of varying complexity
- Review, draft, revise, and negotiate documents for various general corporate transactions, including confidentiality agreements.
- Assist with due diligence and other aspects of large complex transactions including acquisition and disposition of businesses and equity investments on an as needed basis
- Provide day-to-day legal advice for other departments regarding real estate, treasury, accounting, tax and corporate development activities
- Partner with and support other members of the executive team as needed
- Assist and support the Chief Counsel and perform other related duties as assigned or requested
- Law degree from an accredited U.S. law school
- At least 7 years of corporate transact! ion experience post law school
- Active state bar license and me! mber in good standing with that state bar
- By position, may accept license to practice law in another state if it meets Texas Supreme Court reciprocity requirements
- Excellent references
In-house legal department experience for a U.S. based Fortune® 500 company, with 3-4 years’ experience with a major law firm
