Summary of Responsibilities: Proficient in written and spoken English and Spanish a requirementThe Associate working for the BBVA Corporate Finance team in Houston will provide sup! port to senior bankers in the following: Execution and origination of Mergers and Acquisition ("M&A"), Equity Capital Markets ("ECM") and Strategic Derivative transactions in the US, mainly with a cross-border component with Latin America and Europe Fully responsible for the preparation of transaction documents and marketing presentations (using Powerpoint and Word) under the supervision of a Senior Associate/Executive DIrector Coordination of the day-to-day execution of a transaction while meeting deadlines Responsible for preparation and quality control of valuation and other financial analyses (discounted cash flows, leveraged buyout, comparable companies and precedent transactions, combination analysis, accretion-dilution analysis, etc.) Training and supervision of analysts; Various administrative duties, including reporting, benchmarking Liaising with other Corporate Finance Teams in Spain and Latin America 2. Major/Essential Job Duties: Responsible for the preparation! of marketing materials, presentations and documents (pitch bo! oks, fact sheets, confidentiality agreements, engagement letters, information memoranda, process letters, data rooms, offering documents, etc.) Coordinate information gathering and data collection processes including managing data bases: Bloomberg, Factiva, Thomson Research, Mergermarket, Capital IQ, Facset, Dealogic, etc. Apply and utilize all theoretical and practical aspects of financial and valuation analyses: using discounted cash flow analysis, comparable company analysis and precedent transaction analysis, and analyzing the effect of corporate finance transactions by performing various types of analyses such as combination/contribution, accretion-dilution, LBO and leverage capacity. Efficiently manage Analysts and self in the execution and closing of a transaction Providing guidance and training to junior bankers3. Level of Complexity and Risk Involved: The Associate position involves an important degree of complexity, because it requires as part of its everyday acti! vities, employing theoretical and practical knowledge of investment banking services in a timely, efficient and professional manner. It is crucial that all aspects performed and reviewed by the Associate are accurate since their work product forms the basis of actionable recommendations to senior bankers and clients.4. Scope of Duties: The Associate will actively participate in the execution of a number of diverse M&A or ECM projects, including complex financial analysis and modeling, the supervision, guidance and training of a pool of Analyst bankers, and interaction with competitors and counsels.
Technical Skills: MBA or Master's Degree in Finance (Corporate Finance), preferred Minimum of 3 years execution experience in domestic or cross-border M&A for a commercial or investment bank Very strong knowledge of financial accounting, financial statement analysis and corporate finance theory Working knowledge of Spanish is needed Ability to read and to understand fi! nancial statements Experience in building financial projection models o! f the three main financial statements (i.e. income statement, statement of cash flows, and balance sheet) Demonstrable experience in constructing, utilizing and interpreting comprehensive financial, financing and merger models, and valuation analyses using Excel considered advantageous Knowledge of multi-jurisdictional financial and tax regulations; capital markets; and Stock exchange requirements Participated in client and external collaborator (lawyers, accountants, consultants, etc.) meetings Strong computer skills, particularly in Excel, PowerPoint, and Internet search engines; Reuters and Bloomberg.Performance Skills: Results oriented; self starter Superior attention to detail Strong work ethics Ability to multitask and work under pressure Good analytical and communication skills Efficient and self demanding; focused on quality performance Committed and responsible Integrity and ethics
