The Corporate Attorney SEC will be responsible for handling complex legal matters and projects applying established standards in the areas of SEC ! reporting and governance, NYSE listing standards, Sarbanes-Oxley, and other corporate governance matters. The Corporate Attorney SEC will work directly with the Chief Legal Officer to analyze and advise the business on legal developments and litigation concerning SCUSA business.
Essential Functions:
Drafts and coordinates all SEC filings (Form 3, 4, 5, 10-Q, 10-K, proxy, etc.)
Provide guidance on the company’s investor relations and other disclosure activities
Assist in administering the company’s securities trading compliance policy
Ensure compliance with NYSE rules and regulations.
Provide updates to directors and executive officers on section 16 and other equity matters.
Provide support for the audit committee activities.
Prepare information for the annual stockholder meeting
Provide counsel on public securities offerings.
Provide support for other governance and compliance ac! tivities as assigned.
Manage all legal entities, incl! uding ensuring legal entities are created, maintained, and dissolved (if applicable) in a manner that meets regulatory standards and business needs
Provide recommendations of legal requirements, best practices, and strategies for managing over-all risk in order to avoid negative publicity issues and litigation
Other Functions:
Completes special projects as requested.
Performs other duties as assigned.
Required Skills
Requirements:
Bachelor’s degree with Juris Doctorate.
Licensure in good standing in at least one (1) of the United States, preferably Texas.
Five (5) â€" seven (7) year’s experience as public corporate securities attorney.
Demonstrated leadership skills with the ability to motivate team members.
Excellent communication skills, verbal and written, with all levels of the organization
Analytical ability required to review and analyze information and ! data to recommend policies, procedures and formulate any required actions
Strong computer skills including Microsoft Office required.
Must have excellent organizational and time management skills with strong attention to detail.
Confidentiality with privacy sensitive customer and employee documents.
Working Conditions:
Extended schedule may be required as dictated by management and business needs.
Travel to multiple facilities may be required.
May be required to lift, push, or pull materials weighing up to twenty (20) pounds.
May be required to sit and review information on a computer screen for long periods of time.
May require repetitive motions of the hands and wrist related to writing and typing at an electronic keyboard.
Corporate / satellite office role.
