Securities Paralegal

Reporting Information/Location

The securities paralegal position is located at Comerica Bank Tower, 1717 Main Street, Dallas, TX and reports to the Corporate Finance Securities Counsel.

Position Responsibilites

• Assist attorneys in the preparation of SEC filings, such as Form 10-K, Form 10-Q and Section 16 documentation (Forms 3, 4 and 5)
• Assist attorneys in debt and equity securities offerings
• Heavy involvement in the annual meeting process, including assistance with the proxy statement
• Prepare spreadsheets for various purposes, including use in connection with the annual meeting and Section 16 compliance
• Assist at! torneys in the preparation of corporate governance documents (! policies, charters, etc.)
• Research, analyze and document complex legal issues; and
• Assist attorneys in the corporate secretary function, including the preparation of minutes, resolutions and other materials for the board of directors.

Qualifications

• Associate Degree - OR - 2 year Legal Assistant Certificate
• 2 years experience preparing SEC filings, i! ncluding Section 16 documentation (Forms 3, 4 and 5)
• 2 years experience researching legal issues (manual/book and technical/computer)
• 2 years experience preparing board minutes and resolutions
• 2 years word-processing, spreadsheet and database experience
