Leading asset manager seeking a Private Equity/Investment Management Attorney with at least 7 years of experience to provide advice, support and research on a broad variety of legal, regulatory and general corporate matters for their institutional asset management business. The position will support two registered investment advisers focused on private equity co-investments, funds of fund, custom separate accounts and fund of hedge funds/liquid alternatives with a broad range of strategies and products. Typi! cal duties will include:
Legal advice relating to fund and! separate account formation, as well as investment advisory services to private equity funds and institutional separate account clients. Negotiating investment advisory agreements Reviewing requests for proposals (“RFPs”), client questionnaires and institutional marketing materials Working with the Compliance department on policies and procedures Assisting in the development of new investment vehicles and products Advising and coordinating with internal and external counsel relating to mandates Good legal and business judgment and ability to manage all manner of legal issues and business clients

The position will report to the Senior Attorney covering the business. The ideal attorney will have large law firm and in-house experience. Must have working knowledge of Investment Advisers Act of 1940, Investment Company Act of 1940 and the 1933 and 1934 Acts. Familiarity with ERISA is a plus.
