The primary purpose of this job is to provide support to MedAssets’ attorneys reviewing and negotiating contracts with vendors.
Position Objectives:
The candidate m! ust have the ability to work with poise in an environment that requires quick turnaround.
The candidate must display diplomacy, problem solving skills, resourcefulness, and professionalism, and be comfortable interacting with senior management, attorneys, vendors, and customers.
This position requires confidentiality, initiative, and sound decision making.
This position also requires the ability to collaborate with others and work as a team to manage the workload.
Paralegal training and experience desirable but not required.
Essential Duties & Responsibilities:
Contract drafting and other legal drafting under attorney supervision.
Drafts specialized RFP templates, agreements and amendments for vendor and client contracting.
Works with negotiators, develops language to capture deal points in accordance with MedAssets’ drafting standards.
Develops and maintains templates as directed by attorn! ey.
Provides technical document management (requires ! advanced knowledge of MS Office and MS SharePoint).
Training
Advises and trains negotiators on legal issues, contracting standards, and policies and processes.
Performs other training as requested by attorney.
Contract Review
Pre-reviews contracts for acceptability of provisions and acts as interface between negotiators and attorneys.
Prepares revised drafts for attorney and vendor review.
Follows internal policies to ensure compliance.
Participates in negotiations as requested.
Research
Performs business research using the Internet.
Compiles data, and prepares papers, presentations or reports for consideration and presentation to upper management.
Interaction with clients.
Consults with and advises client’s personnel regarding contracts and contracting process.
Provides client’s legal department with contract information as requested.
R! esponsible for special projects as assigned.
Other duties, tasks and projects as assigned.
