This position will be responsible for performing a range of commercial and contractual activities appropriate to the individual’s knowledge, abilities and experience. This may range from the provision of! general commercial advice and responses to customer queries, the provision of commercial support to product lines, the preparation and negotiation of a variety of contractual and bid documents of some complexity for more experienced role holders. The role may also include the provision of first-line legal and regulatory advice, in particular the commercial implications of such advice. The role will support the Contracts Solutions Group (“CS Group”) of UnitedLex, including assisting a team of contracts professionals who support the contracts and procurement services provided by the CS Group to the legal and procurement departments of F500 companies, including clients in the telecommunications sector. This position will report directly to the Contracts Manager in the CS Group and will assist with providing high quality contracts services and well-crafted contracts solutions to UnitedLex’s new and existing telecommunications clients.

Responsibilities: Provide professional and independent commercial and contract! ual management services to support the client’s customer-facing trading activities, including:

Commercial Support - Providing commercial advice and direction to business units, and working with them to negotiate and deliver profitable and commercially-effective contracts with customers and distributors. The role holder may assist a more senior team member on complex commercial arrangements under suitable guidance, support and supervision.

Developing commercial propositions for new and revised products and services including business case input and the review and drafting of contract terms.

Corporate Governance - Providing an independent view of trading activities, to ensure that client’s goals are achieved. Briefing and recommending to line management whether non-standard business should be authorized.

Policy Setting - Ensuring consistency of application of trading policy across the line of business, and where possible the standardiza! tion of terms and conditions across client’s business units.

Process Development- assist the Contract Manager with the development of processes that will be used to standardize contracting for both the US team and the India team.

Risk - Ensuring production and implementation of commercial risk analyses for bids, tenders, contracts and product business cases.

Prepare, analyze and review high volume and diverse range of agreements, contracts, schedules and exhibits, correspondence, certifications and other legal documents including but not limited to Request for Proposal responses, Statements of Work, Non-Disclosure Agreements, and Amendments.

Assist with the maintenance and improvement of legal forms, documents, contract databases, etc.; catalog, track and maintain documents and information for reporting and data management purposes and for tracking contractual obligations.

Resolve routine issues such as amendments and renewals ! and consult with attorneys when complex legal questions arise that requ! ire attorney input.

Administer processes to: (i) ensure consistent use of best practice terms and conditions; (ii) ensure proposed changes receive appropriate review and approval; (iii) encourage use of standard legal forms; (iv) standardize approval, execution and archiving processes; and (v) track and report all key deadlines.

Utilize SharePoint and other software applications.

Assist with maintenance of the department’s contracts management software including the population of contract details and the scanning and uploading of relevant contract information.

Review of contracts for deviations to standard language.

Data and process integrity in contracts database.

Required Experience:
BA/BS degree (preferably in finance, accounting, business, economics or other analytical business degrees) from reputable university, including top academic credentials (based on transcript).

Prior telecommunic! ations experience is preferred.

Knowledge of Vendor and Supplier Agreements preferred.

At least 3 years of prior commercial contracts experience is required.

Ability to work independently.

Reasonable commercial, legal, regulatory and business acumen.

Awareness and understanding of need to escalate issues to line management.

High attention to details; excellent verbal and written communication skills, including drafting.

IACCM, NCMA certifications, paralegal certificate or similar certifications a plus.

Experience with contracts management software and other document management systems a plus.

Ability to manage multiple projects and conflicting priorities while maintaining high attention to quality and detail.

Demonstrated ability to think “outside the box” by making recommendations for improvements to processes and tools.

Strong MS Office (Excel, WORD, PowerPoint, Outlook,! and Access) skills.

Effective time management skills and high! ly motivated to succeed.
