Wincor Nixdorf, a global technology company which manufactures and services equipment and software, is seeking an attorney to serve as Division Assistant Legal Counsel to handle legal matters for operations in ! the U.S. Based in Austin, TX, the successful candidate will have the opportunity to serve as a key member of the Company’s Global Law Department team.
Primary Responsibilities :
Structuring, drafting, and negotiating agreements for equipment sales and services, confidentiality agreements, leases , procurement, reseller, statements of work and service level agreements within context of complex contract structures. Administering contract database and maintaining template agreements.
M anaging claims and litigation matters involving the Company as a party, including employment claims, personal injury defense and indemnification matters. Responsibilities include facilitating discovery requests, evaluating potential liability exposures , assessing insurance coverage, managing outside counsel and managing budgets.
Managing corporate records for the U.S. entity, including corporate registrations, and assisting with corporate governance compl! iance initiatives.
Providing legal advice on employme! nt issues, including non-competes, discrimination claims, sales incentive programs and employment policies, as well as managing Visa program to ensure availability of overseas resources and compliance with US Immigration laws.
Advising on a broad range of legal and business matters, including commercial transactions, information security, data privacy and governmental licensing issues.
Qualification and Experience
J.D. or equivalent degree and excellent academic credentials
Minimum of 2-5 years of experience as a practicing commercial transactional attorney, relevant in-house transactional experience preferred.
Substantial experience drafting and negotiating contracts with understanding of revenue recognition, indemnification and liability, warranty and IP issues.
Ability to work effectively with internal teams to analyze legal risks, facilitate problem solving, and implement overall business strategy.
Demonstra! ted business savvy with the ability to negotiate successfully with customers and to evaluate and explain risks to internal teams.
Outstanding organizational and analytical skills with demonstrated ability to work efficiently, meet deadlines and balance multiple tasks.
