Performs legal research and provides support on legal issues. Prepares and analyzes legal documents, reports and/or filings. Negotiates resolution of legal matters. Coordinates and monitors preparation and execution of legal transactions. Monitors outside attorneys' fees. Maintains awareness of relevant changes in statutory and regulatory laws. Supervision by attorneys. Paralegal Certificate or at least 8+ years equivalent work experience. .
- Support complex corporate legal work at the subsidiary company level, including: facilitation of regular and special meetings of subsi! diary entity boards of directors; and preparation of routine r! esolutions and written consents
- Ensure compliance with applicable Secretary of State and Department of Insurance requirements through annual report and other regulatory filings as well as compilation of corporate governance materials for regulatory audits
- Develop and maintain systems to support accurate recordkeeping for U.S. and non U.S. subsidiary entities
- Maintain Office of the Corporate Secretary internal website .
- College degree; paralegal certificate preferred.
- Hard working, team-oriented, well-organized, with exceptional attention to detail.
- Able to work independently, formulate and implement recommendations to attorneys
- Able to manage and prioritize projects that span across legal disciplines and able to work under time pressure. .
