The Corporate Attorney is responsible for supporting various areas within the Corporation on matters involving corporate law.Position CompetenciesSuccessful incumbents possess business acumen, exhibit integrity and trust, are team players, have strong planning, organizational, project management and presentation skills, are customer focused, flexible and adaptable to change, and possess strong interpersonal political savvy skills.Comerica Bank uses IBM Lotus Notes for database, calendaring and eâ€"mail functionsReporting Information/LocationThe Corporate Attorney position is located at Comerica Bank Tower, 1717 Main Street, Dallas, TX and reports to the Senior Vice President, General Counsel â€" Corporate Finance and Securities of Comerica Incorporated.Position Responsibilitiesâ€" Negotiate, draft documents and advise management in connection with mergers, acquisitions and/or divestitures.â€" Assist with corporate governance, securities compliance and ! regulatory matters, as well as with the corporate secretary fu! nction.â€" Manage legal work related to the Corporation's various equity investment activities, including private equity/venture fund investments, warrant and partnership investments and taxâ€"advantaged/community development investments.â€" Support the Corporation's asset management group, including the Corporation's investment adviser subsidiaries.â€" Follow proposed and new legislation to assess potential impact to areas that the attorney supports and apprise management of such legislation.â€" Conduct research, prepare contracts and provide legal advice on general corporate law issues.â€" Advise senior management on various legal issues.Total RewardsWe know that our employees are critical to our overall success.
