Sr. Paralegal

Senior paralegal support for in-house attorneys with functional responsibilities encompassing many aspects of the company’s activities.
Key Responsibilities:
Act as primary support in ensuring the ad! herence to local compliance requirements of all Eastern Hemisphere subsidiaries, coordinating with Eastern Hemisphere legal staff and outside counsel in non-U.S. jurisdictions
Assist Eastern Hemisphere legal department with the formation or dissolution of subsidiaries or branches
Assist in maintaining a database of all data relevant to the ownership, management and other key information on all Eastern Hemisphere subsidiaries, including critical corporate documents
Coordinate and manage all intercompany restructuring projects by working with the Company’s Tax, Accounting and Legal staff as well as outside counsel in non-U.S. jurisdictions to insure the preparation, coordination and review of the corporate authorities and various in-country filings required
Assist in-house attorneys with preparation, maintenance and distribution of international country managers on-line manual
Provide support (document and diligence management) f! or special corporate and commercial transactions
Prov! ide support in connection with intercompany transactions, including drafting and cataloging documentation on intercompany agreements such as loans, leases and like-kind exchanges
Provide support for special projects including corporate restructurings, financings and asset dropdowns
This position has no supervisory responsibilities and should be self sufficient except for assistance with minor secretarial duties such as preparation of labels, envelopes and mailings and ordering of supplies
Professional Skills/Experience:
Strong interpersonal and communication skills (both verbal and written) necessary to communicate effectively with all levels of management within the company
A strong work ethic and superior organization skills. Demonstrated creativity and flexibility in problem solving
Ability to work in a fast-paced environment, on a wide variety of matters with competing deadlines
Proficiency in Microsoft Wo! rd, Excel, PowerPoint
Basic Qualifications:
Undergraduate degree from an accredited college or university or equivalent work experience
A minimum of five years of corporate paralegal experience
5 years of experience with WestLaw or Lexis-Nexis
