Responsibilities:
Lead lawyer for management of legal issues arising from Post Completion Rights and Obligations (PCRO) following the completion of Portfolio transactions in the DS Americas region
Provide legal services for completion of Portfolio transactions (acquisitions, divestments and joint ventures) in DS Americas region
Proactively identify legal risks and alternative strategies
Ensure documents reflect accurately commercial decisions, at all times consistent with legal obligations and the Shell Control Framework
Represent Shell vis-Ã -vis third parties, including in settlement negotiations
Instruct and manage local external counsel, up to the stage of litigation proceedings
Understand and monitor the legal risks arising from th! e PCRO portfolio, and devise and implement strategies to resolve issues in the interest of the shareholders
Portfolio/PCRO lawyers need to be flexible in terms of working hours, which due to project demands can be beyond normal working hours for given periods, and must also be flexible to travel, within country and potentially internationally, to meet project demands
Requires highly developed interpersonal and stakeholder skills
Must have legal authorization to work in the US on a full-time basis for anyone other than current employer
Must have a US JD or LLM
Must be a Licensed Attorney in good standing in Texas or another jurisdiction
Minimum of ten (10) years experience with corporate transactional, corporate governance,
Broad general grasp of legal issues under own and foreign legal systems and demonstrated capability of building up knowledge in particular areas of law
Knowledge and experience to identify critical legal risks
Demo! nstrable track record as a legal project lead and team player with abil! ity to deliver projects
Extensive knowledge of Shell and the Shell Control Framework
Strong influencing, negotiating and facilitation skills
Exhibit resiliencies under pressure
Strong collaboration skills
Ability to work with both internal and external stakeholders with diverse cultural backgrounds; build partnerships
Excellent verbal and written communication skills
Problem-solving, decision-making and drafting skills
Fluent written and spoken English
Written and spoken Spanish is beneficial but not critical
Law degree or professional legal qualification
